75.7% and Counting: What’s Fueling the Unrest Behind BP’s Chairman Re-Election?

BP Chairman Helge Lund was re-elected in the firm's annual general meeting, receiving 75.7% of preliminary shareholder votes. The result captures both enduring confidence in Lund's leadership and an unusually high level of dissent as investors expressed displeasure at BP's recent strategy shift away from ambitious climate objectives and investments in renewable energy.

The poll is made as tensions among BP's shareholder group are running high. A number of prominent investors, such as Legal & General and Robeco, publicly campaigned against Lund's re-election amid criticism over BP's decision to roll back net-zero plans and ramp up focus on oil and gas production. The critics criticized BP's board for implementing the drastic changes without giving shareholders an explicit vote for the new trajectory, and accusing it of weak governance and a lack of transparency.

Contrary to this rebellion, Lund had secured the chairmanship with a healthy majority despite the 75.7% endorsement being an above-average protest vote for a FTSE 100 chairman. In the past, opposition against the chair at BP has also stayed below 10%. The outcome reflects increased tension between those investors who rank action on the environment as paramount and those voting for the renewed focus on classic energy assets.

BP has accepted the criticism, reaffirming its intention to execute its new strategy and meet established targets. In the meantime, Lund is set to retire in 2026, with his replacement already being sought.
