KNR Constructions Limited has informed the stock exchanges that it has entered into definitive share purchase agreements dated 24 December 2025 with Indus Infra Trust for the proposed sale of 100% shareholding, including sub‑debt, in four special purpose vehicles: KNR Palani Infra, KNR Ramagiri Infra, KNR Guruvayur Infra and KNR Ramanattukara Infra. The transfer will take place in line with concession agreement provisions with NHAI and after obtaining necessary approvals from regulators and project lenders.
The company expects to realize a total of Rs 1,543.19 crore from the transaction, comprising Rs 1,398.65 crore as sale consideration and Rs 144.54 crore as estimated cash surplus to be up streamed, against its planned investment of Rs 566.83 crore in equity and sub‑debt. These SPVs together contributed over 29% of KNR’s consolidated turnover and roughly 19% of consolidated net worth in FY25, underscoring the scale of the monetisation exercise.
