Lucent Industries Limited has announced that its board has approved the acquisition of 100% shares of Mobavenue Media Private Limited, marking a significant move into the digital advertising and AdTech sector. The deal is structured as a full amalgamation, with Mobavenue set to be merged into Lucent Industries, pending shareholder and regulatory approvals.

The board of Lucent Industries approved the acquisition and merger of Mobavenue Media, a Mumbai-based private company specializing in digital media marketing, advertising technology (MadTech), and digital business solutions.
 
Mobavenue Media, founded in 2017, has shown rapid growth, with revenue rising from ₹35.5 crore in FY22 to ₹98.3 crore in FY24. The company offers advanced AI-driven AdTech solutions such as PrsmX, SurgeX DSP, and ResurgeX, which help brands and agencies optimize digital campaigns from awareness to retention.
 
The merger aims to combine Mobavenue’s cutting-edge technology and digital expertise with Lucent’s listed platform, enabling the combined entity to capitalize on India’s fast-growing digital advertising market, projected to reach ₹1.01 lakh crore by 2024.
 
The share swap ratio is set at 40,262 Lucent shares for every 100 Mobavenue shares, as determined by a fairness opinion and valuation report.
 
The amalgamation is expected to bring business synergies, operational efficiencies, and enhanced value for stakeholders by integrating management, technology, and market reach.
 
Lucent Industries has also incorporated a wholly owned subsidiary, Mobavenue Global Holdings Limited, in London to further expand its global digital media footprint.
The scheme is subject to approvals from public shareholders, SEBI, and the National Company Law Tribunal (NCLT). If approved, Mobavenue Media will be fully integrated into Lucent Industries, and Lucent may be renamed “Mobavenue Limited.”
 
The merger is seen as a strategic step for Lucent’s financial recovery, diversification, and entry into high-growth AdTech markets, leveraging Mobavenue’s strong product suite and market presence.
