Brainbees’ Swara Baby Inks Deal To Fully Acquire K.A. Enterprises

Brainbees Solutions Ltd has disclosed that Swara Baby, its wholly owned subsidiary, has signed definitive agreements to purchase the entire shareholding of K.A. Enterprises for a total acquisition cost of 577.4 million rupees. The deal structure typically includes equity purchase along with assumption of certain liabilities and is subject to customary closing conditions and regulatory formalities. The acquisition is aimed at deepening Brainbees’ product and brand portfolio in the baby-care and kidswear ecosystem, while leveraging synergies in sourcing, distribution and marketing.

Management views K.A. Enterprises as a strategic fit that can accelerate growth across both online and offline channels by adding established relationships with retailers and regional markets. The transaction is expected to be funded through internal accruals and will bring K.A. Enterprises under the Swara Baby umbrella as a 100%-owned unit.
