CCI Greenlights Mega Real Estate Move: Knowledge Realty Trust to Acquire Blackstone, Sattva Entities

The Competition Commission of India (CCI) has formally approved the takeover of a number of entities associated with Blackstone and Sattva Group by Knowledge Realty Trust, paving the way for one of India's biggest consolidations in the commercial real estate space. This came as a timely stamp of approval since Knowledge Realty Trust (KRT), a Blackstone-Sattva Group joint venture, is gearing up to launch its much-awaited initial public offering (IPO) that will raise more than Rs 6,200 crore.

Key Highlights

The deal entails direct and indirect acquisition of entities controlled by Blackstone, Sattva Group, and partially by both, with current holders of these entities to receive units in the Knowledge Realty Trust REIT.

Knowledge Realty Trust is handled by Knowledge Realty Office Management Services (previously Trinity Office Management Services), an REIT registered with Sebi that specializes in holding and managing rent or income-producing real estate holdings.

The companies being acquired operate in India's commercial property and renewable power businesses, further diversifying KRT's portfolio.

With this merger, KRT will be India's largest Net Operating Income (NOI) and Gross Asset Value REIT at approximately Rs 60,000 crore. Its portfolio of 48 million square feet (37 million completed) in 30 Grade A office properties spread across six key cities places it as India's most geographically diversified office REIT.

KRT's properties have a high occupancy level, with 90% of space leased out, of which 76% is to multinational companies and 45% to Global Capability Centres.

It is the fifth public listing of Blackstone's India real estate enterprise, after three REITs and one C-Corporation.

Sattva Group, the co-sponsor of KRT, has developed 74 million square feet in seven cities and has an additional 75 million square feet in the development pipeline.

Industry Impact

The CCI’s nod is a major milestone for Knowledge Realty Trust’s IPO journey and signals growing investor interest in Indian commercial real estate. The move consolidates significant assets under a single REIT, potentially offering investors robust, diversified exposure to India’s booming office market. With this acquisition, KRT will join the ranks of India’s leading REITs, including Brookfield India Real Estate Trust, Embassy Office Parks REIT, Mindspace Business Parks REIT, and Nexus Select Trust.
