Final Call Initiated: UPL Sets Rs 180 Payment on Partly Paid Shares

UPL Limited has announced the outcome of its Rights Issue Committee meeting held on July 28, 2025, confirming the second and final call on its partly paid-up equity shares. This move marks a key milestone in the company’s capital-raising process initiated in November 2024.

Key highlights from the committee’s decision:
- Final call amount: Rs 180 per share, comprising Rs 1 towards paid-up value and Rs 179 as premium
- Applicable to 9,38,25,955 partly paid-up equity shares issued under the rights offering
- Record date for determining eligible shareholders: August 1, 2025
- Payment window and operational details to be communicated separately

The meeting commenced at 2:15 p.m. and concluded at 2:45 p.m. IST, with the resolution passed in accordance with Regulation 30 of SEBI’s Listing Obligations and Disclosure Requirements.

This final call represents 50 percent of the total issue price of Rs 360 per share. The first call of Rs 90 per share was previously approved in January 2025. With this step, UPL aims to fully convert the partly paid shares into fully paid equity, strengthening its capital base without resorting to fresh equity dilution.

The funds raised will support UPL’s ongoing strategic initiatives across agrochemicals, specialty chemicals, and global expansion efforts.
