SecureKloud Technologies, through its step-down subsidiary QuantumNexis, has announced the strategic acquisition of Niyama Healthcare Inc. and Ezovion Solutions Private Limited for a total consideration of $5.7 million. This bold move, executed via Healthcare Triangle Inc. (HCTI), marks a significant milestone in the company’s mission to revolutionize healthcare delivery with AI-powered solutions.

Key Highlights:
Dual Acquisition Details: QuantumNexis, the newly launched AI-focused subsidiary of Healthcare Triangle, will acquire 100% of the assets of Niyama Healthcare and a full equity stake in Ezovion Solutions. The deal includes $1.5 million in cash (with $1.2 million paid at closing), $3 million in restricted HCTI stock, and up to $1.2 million in performance-based earn-outs.

Strategic Rationale: The acquisition brings together Niyama’s cutting-edge generative AI mental health SaaS platform and Ezovion’s integrated hospital information and EHR systems under one umbrella, creating a comprehensive, AI-driven healthcare technology suite.

Innovation Engine: QuantumNexis will serve as the innovation hub, integrating Niyama’s personalized mental health technology and Ezovion’s smart hospital platform to address global needs in clinical efficiency, mental health access, and healthcare automation.

Financial Impact: With HCTI’s strong balance sheet and a current ratio of 3.07, the company is well-positioned to support this expansion. The acquisition is expected to add new subscription-based revenue streams and cross-selling opportunities, strengthening HCTI’s market position.

Leadership Moves: To support this transformation, HCTI has appointed David Ayanoglou as CFO and Sujatha Ramesh as Board Director, while also switching auditors to ensure regulatory compliance.

Integration Timeline: The transaction is expected to close within 90 days, with Niyama continuing operational support during the transition period through August 15, 2025.

“This strategic acquisition aligns with our mission to transform healthcare delivery through intelligent, integrated platforms,” said Sujatha Ramesh, COO of HCTI.

With this move, SecureKloud and Healthcare Triangle are poised to become leaders in the rapidly evolving market for AI-powered healthcare solutions, setting the stage for smarter, more accessible, and efficient care worldwide.
