Narayana Hrudayalaya Limited (NHL) has announced that its Board of Directors has approved a Scheme of Arrangement involving the demerger of the Clinical Services undertaking from its wholly owned subsidiary, NH Integrated Care Private Limited (NHIC), into NHL. The decision was made at the Board meeting held on December 12, 2025, and the scheme has an appointed date of April 1, 2025.
The restructuring aims to streamline operations by transferring NHIC’s Clinical Services — including 10 clinics in Bengaluru — into the listed entity, thereby strengthening integrated clinical operations under a single organizational framework.
