HLE Glascoat Limited, one of India’s leading glass-lined process equipment manufacturers, has made a significant strategic move through its overseas step-down subsidiary, HLE Surface Technologies GmbH. On August 14, 2025, the company announced the acquisition of specific assets belonging to Omeras GmbH, a specialist in glass-lined and enameled panels and tanks based in Germany, and 100% equity of Omerastore GmbH, for a total cash consideration of Euro 2.75 million. The transaction is structured to support HLE Glascoat’s growth ambitions in Europe and enhance its global reach in high-value engineered solutions.

HLE Surface Technologies GmbH, a wholly owned step-down subsidiary of HLE Glascoat Limited, has entered agreements to acquire both certain tangible assets of Omeras GmbH and the full shareholding of Omerastore GmbH.

Omeras GmbH is headquartered in Lauter-Bernsbach, Germany and specializes in manufacturing and distributing glass-lined/enameled panels, tanks, and façade claddings for architecture and industrial storage.

The assets acquired encompass manufacturing lines, intellectual property, customer lists, inventory, real estate, and full ownership of Omerastore’s operations.

The purchase price is Euro 2,750,000 in cash, with completion expected within ten banking days from the agreement date.

About the Target Entities and Transaction Structure

Omeras GmbH brings a recent annual sales revenue of Euro 19.23 million, with Omerastore GmbH contributing Euro 10.90 million in the year ended December 2024.

Omeras had entered insolvency proceedings earlier in 2025, but the acquisition of assets and shares by HLE’s German subsidiary has been approved by the insolvency administrator and the relevant creditors‘ committee, facilitating a smooth transfer of business.

The assets mainly include manufacturing facilities and technologies for enameled glass panels, architectural façade systems, and storage solutions, alongside real estate in Germany and 100% of Omerastore, itself a provider of similar solutions.

Strategic and Industry Significance

This acquisition is poised to give HLE Glascoat a substantial foothold in the European market for glass-lined process equipment and architectural panels.
