NCLT Approves Aditya Birla Fashion's Scheme of Arrangement with Lifestyle Brands

Aditya Birla Fashion and Retail Ltd. (ABFRL) has received approval from the National Company Law Tribunal (NCLT) for its Scheme of Arrangement to demerge its Madura Fashion and Lifestyle business into a separate entity, Aditya Birla Lifestyle Brands Limited. This strategic move aims to create independent growth engines for premium apparel brands like Louis Philippe, Van Heusen, Allen Solly, and Peter England. Shareholders of ABFRL will hold identical stakes in the newly formed entity, enhancing transparency and value creation opportunities. The demerger aligns with ABFRL's vision to scale operations and strengthen its position in India's fashion industry.
