Premier Energies Limited has announced a significant strategic expansion in India’s renewable energy EPC space alongside key timeline extensions for two ongoing acquisitions. The decisions were approved at the company’s Board meeting held on 9 February 2026.
Key Highlights Of The Board Meeting

Premier Energies will invest in HeliosAnthos Energies Private Limited, a newly incorporated EPC platform focused on solar, wind, battery energy storage systems (BESS) and solar-wind-BESS hybrid projects across India.

The company will hold 51 percent equity and management control in HeliosAnthos Energies, while BA Prerna Renewables Private Limited will own the remaining 49 percent stake, funded through equity contribution in a 51:49 ratio.

HeliosAnthos will provide end-to-end EPC solutions, including land acquisition, transmission connectivity, regulatory approvals, detailed engineering, procurement, supply, installation, erection, testing and commissioning, with an initial paid-up capital of INR 10,00,000.

The proposed transaction for the joint venture is structured as a cash consideration subscription of 1,04,550 equity shares of INR 10 each by Premier Energies, aggregating to INR 10,45,500 for its 51 percent stake.

The Board approved an extension of the long-stop date for the proposed acquisition of 51 percent equity in Ksolare Energy Private Limited, with conditions precedent now targeted to be fulfilled by 15 April 2026.

The Board also deferred acquisition of the balance tranche of equity shares in Transcon Ind Limited, similarly extending the fulfilment of conditions precedent under the amended share subscription and shareholders’ agreement until 15 April 2026.
