Quess Corp's Bold Move: NCLT Gives Green Light to Three-Way Demerger Strategy

Quess Corp Ltd, one of the largest business services companies, has been given approval by the National Company Law Tribunal (NCLT) Bengaluru Bench for its scheme of corporate restructuring. The NCLT delivered the order on March 4, 2025, approving the Composite Scheme of Arrangement between Quess Corp Limited, Digitide Solutions Limited, and Bluspring Enterprises Limited. This recast will carve out Quess Corp's business into three stand-alone, publicly traded companies concentrating on workforce management, insurtech and HRO services, and facility management and industrial services, respectively. One share each of the two demerged firms for every share owned in Quess Corp will go to shareholders. The company anticipates that this will result in greater focus, efficiency, and shareholder value.
