The board met on 25 May 2026 to approve results, governance changes and compliance updates in line with SEBI LODR regulations.

Q4 And FY26 Financial Performance
For Q4 FY26, consolidated revenue from operations stood at 32,281.54 lakh rupees, with total income of 41,345.87 lakh rupees and profit after tax of 12,554.97 lakh rupees. Standalone revenue from operations for the quarter was 10,569.53 lakh rupees, delivering standalone profit after tax of 4,666.21 lakh rupees and basic EPS of 2.65 rupees. For FY26, standalone revenue reached 15,764.16 lakh rupees with profit of 20,062.91 lakh rupees, while consolidated revenue came in at 49,187.74 lakh rupees with consolidated profit of 26,804.31 lakh rupees and EPS of 15.21 rupees.
Strategic Moves And Balance Sheet Update
During FY26, the company completed the acquisition of Nasmyth Group in the UK through its wholly owned subsidiary, strengthening its aerospace and defence footprint. It also realised substantial profit from the sale of landed property and divested its stake in Extrovis AG, while implementing an NCLT-sanctioned amalgamation of Sigma Advanced Systems Private Limited into the listed entity. As of 31 March 2026, consolidated assets stood at 105,912.99 lakh rupees, with equity of 46,840.56 lakh rupees and diversified subsidiaries and associate interests.
Governance, Board Actions And Compliance
The board approved the re-appointment of independent director Sivalenka Kalyan Vijay for a second five-year term from 28 June 2026 and took note of SEBI LODR board composition compliance. It accepted the resignation of company secretary and compliance officer Thakur Vishal Singh, effective 24 May 2026, and appointed CS Krishna Chaitanya Sadhu as the new company secretary and compliance officer from 25 May 2026. Auditors issued unmodified opinions on both standalone and consolidated financial statements, and the company reported no defaults on loans or debt securities for the March quarter.
