TBI Bank, a rapidly growing tech-enabled challenger bank operating in Bulgaria, Romania, and Greece, has been a key player in embedded finance, connecting merchants and consumers through its mobile-led financial ecosystem. The bank currently serves over 2.4 million customers and is present at 32,000 merchant partner checkout points across its core markets.

The deal’s total consideration exceeds TBI Bank’s 2024 year-end book value, with more than 75 percent of the cash payment to be made at closing and the remainder covered by an earnout over the following 18 months. TBI Bank reported a record net profit of EUR 50 million in 2024, reflecting an 18 percent year-on-year increase, while maintaining strong liquidity and capital positions.

Advent, known for its expertise in banking and financial technology investments, has a strong track record in the sector, with previous investments in Nubank, KreditBee, Aareal Bank, Yes Bank, and Addiko.
