Camlin Fine Sciences Spices Up Portfolio: Buys French Ingredient Innovator Vinpai in €3.60 Per Share Transaction

Camlin Fine Sciences Ltd (CFSL) will acquire a controlling stake in French natural food and cosmetic ingredient specialist Vinpai S.A. Vinpai shares have been valued at €3.60 each, and CFSL will be taking up around 79% of Vinpai's existing share capital. The move will be funded by newly issued CFSL shares pending shareholder approval.

The acquisition aims to bolster CFSL's global footprint and expand its product portfolio in the natural ingredients space. Alongside the stake purchase, CFSL will invest €3.3 million in Vinpai through convertible bonds, strengthening the French company's financial position.

Following the acquisition, CFSL will proceed with a simplified cash tender offer for the outstanding Vinpai shares at the same price of €3.60. The transaction represents a key milestone in CFSL's growth strategy, leveraging Vinpai's R&D capabilities to improve its competitiveness in the international market for natural alternatives to chemical additives.
