Sandhar Technologies Limited has made a disclosure of completion of a material sale and purchase agreement with its wholly owned subsidiary, Sandhar Engineering Private Limited, for sale of its entire Plant and Machinery at Sandhar Technologies Limited (HR) – Unit-III. This is one part of a larger realignment and consolidation strategy of the group to optimize operations and maximize utilization of assets.

Agreement Terms:
The agreement for sale and purchase was signed on 1st July 2025 among Sandhar Engineering Private Limited and Sandhar Technologies Limited, which are Gurugram, Haryana-based companies.
 
Transaction Value:
The sale consideration as mutually agreed is INR 19.01 crores as per an independent valuation report. The amount can be paid in lump sum or installment within six months or as mutually agreed. The consideration can be paid in cash, securities, or partly cash and partly securities.
 
Nature of Transaction:
The transaction is a related party transaction since Sandhar Engineering Private Limited is a wholly owned subsidiary company of Sandhar Technologies Limited. The transaction is being conducted on an arm's length basis.
 
Immediate Effect:
The effective date of sale is 1st July 2025, when the entire plant and machinery assets of Unit-III are transferring to the subsidiary.
 
Strategic Reasoning:
This restructuring within is intended to enhance operational efficiency, align the business verticals, and unlock value in the manufacturing portfolio of the group.
 
Related Developments:
Meanwhile, Sandhar Technologies has also finalized deals to buy aluminium die casting units of Sundaram-Clayton Limited from its another entirely owned subsidiary, Sandhar Ascast Private Limited, and sanctioned the slump sale of other units to further consolidate its manufacturing base. These initiatives reflect Sandhar Technologies' continued efforts to re-deploy its business towards greater flexibility and growth in the competitive automotive components business.
