PenCom’s Capital Surge: Pension Operators Face New Financial Thresholds

In a sweeping regulatory overhaul, the National Pension Commission (PenCom) has raised the minimum capital requirements for pension fund operators in Nigeria. The move is part of its Pension Revolution 2.0 initiative aimed at strengthening financial stability, operational resilience, and global competitiveness.

Key highlights of the revised framework:

1. Pension Fund Administrators (PFAs) must now maintain a minimum capital base of N20 billion, up from N2 billion  
2. PFAs with Assets Under Management (AUM) exceeding N500 billion must hold N20 billion plus 1 percent of the excess AUM  
3. Special Purpose PFAs, such as NPF Pensions Limited, are required to maintain N30 billion in capital  
4. Pension Fund Custodians (PFCs) must now meet a capital threshold of N25 billion, plus 0.1 percent of Assets Under Custody (AUC)  
5. The new requirements take immediate effect for new entrants, while existing operators have until December 31, 2026, to comply  
6. PenCom will monitor compliance every two years through audited financial statements, with a 90-day window to rectify shortfalls  
7. The revision aligns capital adequacy with risk exposure, asset growth, and operational complexity  
8. The regulator cited increased cybersecurity demands, technology upgrades, and staff welfare as drivers of the change  
9. The capital base for PFCs had remained unchanged since 2004, prompting the need for recalibration  
10. The updated model reflects global best practices and ensures pension assets of over 10 million Nigerians are better protected
