Reliance Power Grants Nearly 1 Crore Employee Stock Options Under New ESOP Scheme

Reliance Power Ltd disclosed that its Nomination and Remuneration Committee approved the grant of close to 1 crore (99,92,103) employee stock options under its new ESOP plan effective November 10, 2025. This strategic move aims to incentivize and retain employees aligned with the company’s long-term goals.

Options will convert into an equal number of fully paid equity shares with a face value of ₹10 each. The exercise price structure offers flexibility: some options are at face value, while others carry a 20% discount to the closing market price (₹31.35) on NSE as of November 7, 2025.

Vested options may be exercised up to four years post-vesting, allowing employees a substantial period to benefit. This ESOP scheme is designed to drive employee motivation and shareholder value growth simultaneously.

The company also indicated it plans to pursue up to $600 million capital raise through FCCBs, supporting growth initiatives and financial strengthening.
