Quick Heal Technologies is set for a key internal shift as promoter Sneha Kailash Katkar prepares to acquire a 6.14% stake in the company through an interse transfer from fellow promoter and immediate relative Anupama Kailash Katkar. The transaction, involving 33.19 lakh equity shares, is scheduled to take place on or after June 24, 2025, via a block deal on the open market.

Key Highlights:
  • Stake Transfer: 6.14% of Quick Heal’s equity to move from Anupama to Sneha Katkar
  • Mode: Open market block deal under SEBI’s interse promoter transfer exemption
  • Pricing: Shares to be acquired at prevailing market price, capped within 25% of the 60day VWAP (₹364.30)
  • PostDeal Holding: Sneha’s stake will rise from 0.68% to 6.83%; Anupama’s will drop from 20.68% to 14.53%
  • No Change in Control: Promoter group’s total holding remains unchanged
The move is part of a broader “reorganization of investments” within the promoter group and complies with SEBI’s SAST Regulations, which allow such transfers between longstanding promoters and immediate relatives without triggering an open offer.

Quick Heal emphasized that all regulatory disclosures have been made and that the transaction won’t affect the company’s overall promoter control or governance structure.
